(“Oi”) – BM&FBOVESPA: OIBR3 and OIBR4 / NYSE: OIBR – in accordance with the Material Fact dated December 3, 2013, hereby discloses to its shareholders and the market in general that on March 31, 2014, it concluded, through its subsidiaries Telemar Norte Leste S.A. (“Telemar”) and BRT Servicos de Internet S.A. (“BRTSI”, and together with Telemar, the “Sellers”), the transfer to SBA Torres Brasil Ltda. (the “Buyer”) of shares representing 100% of the capital stock of a company controlled by the Sellers that owns 2,007 mobile telecommunications towers (the “Transaction”), in exchange for the total aggregate amount of R$1,525,000,000.00.
